These Terms of Service ("Terms") govern your access to and use of the Fulxion services, including our website, APIs, and any other software, tools, and services provided by Fulxion (a product of Encrypia Labs), collectively, the "Services".

1. Acceptance of Terms

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these terms. In that case, "you" and "your" will refer to that organization.

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age (or the age of legal majority in your jurisdiction);
• Have the legal capacity to enter into a binding agreement;
• Not be prohibited from using our Services under applicable laws;
• Not be located in a jurisdiction where access to our Services is prohibited;
• Not be on any sanctions lists or otherwise restricted from engaging in financial transactions.

3. Use of Services

You may use our Services only in compliance with these Terms and all applicable laws, rules, and regulations. You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account.

• API Use: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Fulxion APIs as described in our developer documentation.
• Prohibited Activities: You may not use the Services for any illegal or unauthorized purpose. You agree to comply with all laws, rules, and regulations applicable to your use of the Services.

Prohibited Uses Include:

• Money laundering, terrorist financing, or any other financial crime;
• Circumventing any sanctions or trade restrictions;
• Fraudulent activities or misrepresentation;
• Market manipulation or wash trading;
• Unauthorized access or hacking attempts;
• Distributing malware or harmful code;
• Violating the intellectual property rights of others;
• Any activity that could damage, disable, or impair our Services.

4. Digital Asset Risks

You acknowledge and accept that:

• Digital assets are highly volatile and speculative;
• You could lose all or substantially all of your investment;
• Past performance is not indicative of future results;
• We do not provide investment, financial, tax, or legal advice;
• You are solely responsible for your investment decisions.

5. Fees and Payment

Certain aspects of our Services may be provided for a fee. You agree to pay all applicable fees for the Services in accordance with the pricing and payment terms presented to you for those Services. All fees are non-refundable, except as required by law or as otherwise specifically permitted in these Terms.

• Fees are subject to change with 30 days' notice;
• You are responsible for all taxes associated with your use of the Services;
• Failure to pay may result in suspension or termination of your account.

6. Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Encrypia Labs, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7. User Content

You retain ownership of any content you submit through our Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, and display such content solely for the purpose of providing and improving our Services.

Our Services may integrate with or contain links to third-party services. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Fulxion, Encrypia Labs, and their officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Services will immediately cease;
• We may delete your account and associated data (subject to legal retention requirements);
• Any provisions that by their nature should survive termination shall survive.

13. Dispute Resolution

Any dispute arising out of or relating to these Terms shall be resolved through:

1. Informal Negotiation: First, by attempting to resolve the dispute informally by contacting us;
2. Arbitration: If informal resolution fails, disputes shall be resolved by binding arbitration;
3. Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class actions.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Encrypia Labs is established, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide reasonable notice of any changes by posting the new Terms on this page. Material changes will be notified via email or prominent notice on our Services. Your continued use after changes constitutes acceptance of the new Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Risk Disclosure Statement, constitute the entire agreement between you and Fulxion regarding the Services and supersede all prior agreements and understandings.
